MATERIALS ONLY PURCHASE AGREEMENT
This Materials Only Purchase Agreement ("Agreement") is entered into between:
- Carpet Installers Direct ("Seller," "Platform," "we," "us," or "our"), a Georgia-based business located at [Address], and
- You ("Buyer," "Customer," "you," or "your"), the individual or entity purchasing carpet materials
By checking the acceptance box at checkout or signing below, you agree to the following terms:
1. Product Description and Sale
1.1 Materials Only
This Agreement is for the purchase of carpet materials ONLY. This includes:
- Carpet rolls or pieces cut to your specifications
- Professional cutting diagram (CAD-quality layout)
- Installation specifications sheet (from the mill)
- Manufacturer's warranty documentation
This Agreement does NOT include:
- ❌ Installation labor
- ❌ Installer matching or vetting
- ❌ Installation coordination or scheduling
- ❌ Tools, adhesive, padding, or other installation supplies (unless separately purchased)
- ❌ Furniture moving, carpet removal, or subfloor preparation
- ❌ Quality inspection or post-installation support
1.2 Materials as Described
You are purchasing carpet materials based on:
- Product name, style, and color as shown on your quote
- Square footage as calculated from your room dimensions
- Cutting diagram showing how carpet will be cut to minimize waste
IMPORTANT: Materials are custom-cut based on your provided dimensions. You are responsible for accurate measurements. Platform is NOT liable for installation errors caused by incorrect measurements you provided.
2. Pricing and Payment
2.1 Material Cost
Materials are priced at mill cost + 15% markup. This markup covers:
- Quoting and order processing
- Quality control and inspection
- Customer support
- Cutting diagram creation
- Specification packet preparation
2.2 Total Price
Your total price includes:
- Materials (base cost + 15% markup)
- Shipping (carrier rates, no markup - see Section 4)
- Taxes (if applicable in your jurisdiction)
Example Pricing:
Base material cost: $3,000.00
Markup (15%): $450.00
Materials total: $3,450.00
Shipping (LTL): $450.00

2.3 Payment Terms
- Payment due: At checkout (full payment required before order processing)
- Payment methods: Credit card, debit card, ACH transfer (via Stripe)
- No financing: Platform does not offer payment plans or financing (pay in full only)
2.4 Price Accuracy
Platform makes every effort to ensure pricing accuracy, but errors may occur. If we discover a pricing error:
- Before order ships: We will notify you and offer the choice to (a) pay the correct price or (b) cancel for full refund
- After order ships: You pay the price shown at checkout (Platform absorbs error)
3. Order Processing and Production
3.1 Order Confirmation
Upon receiving your payment, Platform will:
- Send order confirmation email within 24 hours
- Generate cutting diagram and specification packet
- Submit order to our manufacturing partner
- Provide estimated production and delivery timeline
3.2 Production Time
Typical production time is 5-10 business days from order confirmation to shipment. Custom orders or high-demand periods may take longer. Platform will notify you of any delays exceeding 10 business days.
3.3 Cutting Diagram
You will receive a professional cutting diagram showing:
- How carpet will be cut to fit your room(s)
- Seam locations (if applicable)
- Waste percentage and excess material
- Installation direction and pattern matching (if applicable)
CRITICAL: Review the cutting diagram carefully before installation. Platform is NOT liable for installation errors if you or your installer deviate from the cutting diagram.
4. Shipping and Delivery
4.1 Shipping Method
Materials are shipped via LTL (Less Than Truckload) freight from the carpet mill to your delivery address. Shipping typically takes 7-10 business days after production completes.
4.2 Shipping Cost
Shipping cost is calculated based on:
- Destination ZIP code
- Weight and volume (square yards of carpet)
- Carrier rates (no Platform markup)
Shipping rates are provided at checkout and are non-negotiable.
4.3 Delivery Options
Standard Delivery (Included):
- Curbside delivery (driver brings materials to curb or loading dock)
- Customer responsible for moving materials into home/building
- Delivery during normal business hours (no appointment time guarantee)
Upgraded Delivery (Optional, Additional Cost):
- Inside delivery (+$99): Driver brings materials inside your home/building (ground floor only)
- Room placement (+$149): Driver places materials in specific room(s)
- Expedited shipping (+$149-$499): Rush delivery (3-5 days or next-day)
4.4 Delivery Requirements
You must:
- Provide a valid delivery address (no PO boxes)
- Ensure someone is available to receive delivery (18+ years old)
- Provide a phone number for carrier to call day-of delivery
- Have clear access to delivery location (truck can park within 50 feet)
Carrier will NOT:
- Deliver to locations inaccessible by standard freight truck
- Navigate narrow driveways, steep hills, or unpaved roads
- Wait more than 30 minutes for recipient
4.5 Tracking Information
You will receive tracking information via email when your order ships. Track your shipment at the carrier's website.
4.6 Delivery Delays
Platform is NOT liable for delivery delays caused by:
- Carrier delays (weather, traffic, mechanical issues)
- Incorrect address provided by customer
- No one available to receive delivery
- Access issues at delivery location
If delivery is delayed beyond the estimated window, Platform will work with the carrier to expedite delivery, but no refund is provided for delays.
5. Inspection and Acceptance
5.1 Inspect Upon Delivery
CRITICAL: Inspect materials immediately upon delivery, before the driver leaves. Check for:
- Correct product (style, color, quantity)
- Shipping damage (crushed rolls, water damage, torn packaging)
- Missing pieces or accessories
5.2 Report Damage Within 48 Hours
If materials are damaged in shipping:
- Document damage: Take photos of damaged packaging and materials
- Note on delivery receipt: Write "damaged" and describe issue
- Contact Platform within 48 hours: Email support@carpetinstallersdirect.com with photos
Failure to report damage within 48 hours voids your claim. Platform will NOT accept damage claims after materials have been installed.
5.3 Acceptance
By accepting delivery (signing delivery receipt without noting damage), you acknowledge:
- Materials are correct (style, color, quantity)
- Materials are undamaged
- You assume responsibility for materials from this point forward
6. Warranty
6.1 Manufacturer's Warranty Only
Materials are covered by the manufacturer's warranty ONLY. Platform does not provide its own warranty on carpet materials.
Typical manufacturer's warranty covers:
- Manufacturing defects: Color variation, backing separation, excessive shedding, delamination (if present at time of manufacture)
- Wear warranty: Some products include wear warranties (5-10 years depending on product)
6.2 Manufacturer's Warranty Does NOT Cover
- Installation errors (poor seaming, wrinkles, buckling, adhesive failure)
- Normal wear and tear
- Damage caused by moisture, pets, stains, or improper maintenance
- Damage caused by moving furniture or dragging heavy objects
- Color fading due to sunlight or cleaning chemicals
6.3 Warranty Claims
To file a warranty claim:
- Contact manufacturer directly (contact info provided in specification packet)
- Provide proof of purchase (order confirmation from Platform)
- Describe defect and provide photos
- Follow manufacturer's claim process
Platform is NOT involved in manufacturer warranty claims. Platform does not guarantee manufacturer will honor warranty claims.
7. Returns and Refunds
7.1 Return Policy
You may return materials for a refund if:
- Manufacturing defect discovered within 30 days of delivery (documented with photos)
- Wrong product shipped (Platform error - wrong style, color, or quantity)
- Damaged in shipping (reported within 48 hours of delivery)
7.2 What is NOT Returnable
- ✅ Custom-cut materials - Materials cut per your specifications are NOT returnable (all sales final)
- ❌ Installed materials - Once installed, no returns or refunds
- ❌ Color mismatch - Customer expected different color based on website photos (always order samples first)
- ❌ Changed mind - Customer no longer wants materials (all sales final after 24 hours)
- ❌ Installation errors - Material is fine, but installer made errors (not Platform's responsibility)
7.3 Return Shipping
If Platform authorizes a return:
- Platform error (wrong product): Platform pays return shipping
- Shipping damage: Carrier pays return shipping (Platform coordinates)
- Manufacturing defect: Customer pays return shipping; manufacturer may reimburse
7.4 Refund Process
Refunds are processed within 5-10 business days after Platform receives and inspects returned materials. Refund is issued to original payment method.
Refund amount:
- Materials cost (minus any restocking fee, if applicable)
- Original shipping cost (if Platform error only)
- Taxes (if paid)
NOT refunded:
- Upgraded delivery fees (inside delivery, room placement)
- Installation labor (you paid installer directly, not Platform)
8. Installation Disclaimer
8.1 No Installation Services
IMPORTANT: This Agreement is for materials only. Platform does NOT provide installation services and has NO involvement in installation.
You are solely responsible for:
- Hiring a qualified installer (Platform does not recommend, vet, or verify installers)
- Ensuring installer is properly licensed and insured (if required in your jurisdiction)
- Supervising installation quality and approving installer's work
- Paying installer directly (Platform does not collect or disburse installer payments)
- Addressing any installation issues with installer (Platform has no role in installation disputes)
Platform's Role Ends at Delivery: Once materials are delivered and you sign the delivery receipt, Platform's obligations under this Agreement are complete. All subsequent installation work is between you and your installer.
8.2 No Installation Recommendations
Platform does NOT:
- Recommend specific installers
- Vet or background-check installers
- Guarantee installer quality or workmanship
- Mediate disputes between you and your installer
If you need installation coordination, consider upgrading to BYOI ($99 coordination fee) or Full Service (fully managed installation).
8.3 Cutting Diagram is NOT Installation Guarantee
The cutting diagram shows how materials will be cut, but does NOT guarantee:
- Perfect installation (installer must execute properly)
- Zero waste (waste percentage is estimated)
- No seams (some rooms require seams due to carpet roll width)
Platform is NOT liable for installation errors, even if cutting diagram was followed.
9. Limitation of Liability
9.1 Platform's Maximum Liability
Platform's total liability under this Agreement is limited to the amount you paid for materials and shipping.
Platform is NOT liable for:
- Installation errors or poor workmanship (hire a competent installer)
- Damage to property caused by installer
- Personal injury caused by installer
- Consequential damages (lost time, alternative housing, furniture storage)
- Punitive damages
9.2 No Guarantees on Installation Outcomes
Platform makes NO guarantees or warranties regarding:
- How carpet will look after installation
- Durability or lifespan (manufacturer's warranty only)
- Suitability for your specific use case (commercial, residential, high-traffic, pets, etc.)
- Color accuracy (lighting, screen calibration, dye lot variation)
9.3 Recommended Precautions
To reduce installation risk:
- Order samples - See actual color and texture before ordering full amount
- Hire licensed, insured installer - Protect yourself from liability
- Get multiple bids - Ensure competitive pricing for installation
- Review cutting diagram - Discuss with installer before purchase
- Inspect before installation - Ensure materials are correct before installer begins
10. Color Variation and Samples
10.1 Color Accuracy
IMPORTANT: Carpet colors may vary from website photos due to:
- Screen calibration (monitors display colors differently)
- Lighting conditions (showroom vs. your home)
- Dye lot variation (different production runs have slight color differences)
Platform is NOT liable for color mismatch if you did not order samples before purchasing.
10.2 Order Samples First
Strongly recommended: Order physical samples ($5-10 each) before purchasing full materials. Samples show:
- Actual color and texture
- Pile height and density
- Fiber type (nylon, polyester, wool, etc.)
If you skip samples and are dissatisfied with color, no refund is provided (unless manufacturing defect).
10.3 Dye Lot Matching
If you order additional materials later (repairs, expansions), Platform cannot guarantee color match. Dye lots change over time. Always order 10-15% extra materials at initial purchase to account for future repairs.
11. Customer Responsibilities
11.1 Accurate Measurements
You are responsible for:
- Providing accurate room dimensions (length, width, closets, alcoves)
- Measuring correctly (use professional installer if uncertain)
- Accounting for pattern matching, seams, and waste
Platform uses your provided dimensions to calculate materials and create cutting diagram. Platform is NOT liable if you provided incorrect measurements.
11.2 Storage Before Installation
You must:
- Store materials in dry, climate-controlled location (60-80°F, <50% humidity)
- Keep materials in original packaging until installation
- Acclimate materials per manufacturer's instructions (typically 24-72 hours)
Failure to store properly may void manufacturer's warranty.
11.3 Installation Timing
Platform recommends installing materials within 30 days of delivery. Longer storage increases risk of:
- Moisture damage
- Color fading
- Edge fraying
- Warranty issues
12. Force Majeure
Platform is NOT liable for delays or failures caused by events beyond our control, including:
- Natural disasters (hurricanes, floods, earthquakes)
- Pandemics or public health emergencies
- War, terrorism, or civil unrest
- Mill production issues (equipment failure, material shortages)
- Carrier strikes or transportation disruptions
If a force majeure event occurs, Platform will:
- Notify you as soon as possible
- Provide updated delivery timeline
- Offer refund if delay exceeds 60 days
13. Privacy and Data Use
13.1 Personal Information
By accepting this Agreement, you consent to Platform collecting and using:
- Name, email, phone, delivery address
- Payment information (processed securely via Stripe)
- Order details (product, quantity, price)
13.2 Data Sharing
Platform may share your information with:
- Carpet mill (to fulfill your order)
- Shipping carrier (to deliver materials)
- Payment processor (Stripe - for payment processing)

14. Governing Law and Dispute Resolution
14.1 Georgia Law Governs
This Agreement is governed by the laws of the State of Georgia, without regard to conflict of law principles.
14.2 Dispute Resolution
Disputes between you and Platform must be resolved via:
- Informal negotiation first (contact support@carpetinstallersdirect.com)
- Binding arbitration (see Dispute Resolution & Arbitration Agreement)
- Small claims court (if dispute amount is below small claims limit)
No class actions: You agree to resolve disputes individually, not as part of a class action lawsuit.
15. Modifications and Severability
15.1 Contract Changes
Platform may update this Agreement by:
- Posting updated version at [website URL]
- Incrementing version number
- Notifying you via email (if you have an account)
Changes apply to future purchases only (not retroactive).
15.2 Severability
If any provision of this Agreement is found invalid or unenforceable, the remaining provisions remain in full effect.
16. Entire Agreement
This Agreement, together with:
- Platform Terms of Service
- Privacy Policy
- Payment Processing Terms
- Dispute Resolution & Arbitration Agreement
constitutes the entire agreement between you and Platform regarding materials purchase.
No verbal agreements, emails, or phone calls modify this Agreement.

- ✅ You understand the cutting diagram is NOT an installation guarantee
- ✅ You understand Platform's liability is limited to materials cost
- ✅ You understand custom-cut materials are NOT returnable
- ✅ You should order samples before purchasing to verify color
- ✅ You must inspect materials upon delivery and report damage within 48 hours
- ✅ You agree to resolve disputes via arbitration (not court)
CRITICAL DISCLAIMERS:
MATERIALS ONLY - NO INSTALLATION: This Agreement is for carpet materials ONLY. Platform does NOT provide installation services, installer recommendations, or installation quality guarantees. Customer is solely responsible for hiring, supervising, and paying their installer.
COLOR VARIATION: Carpet colors may vary from website photos. Customer should order samples before purchasing. No refunds for color mismatch if samples were not ordered.
CUSTOM-CUT = NO RETURNS: Materials are custom-cut per your specifications. All sales are FINAL once materials are cut. No returns except for manufacturing defects, shipping damage, or Platform error.
LIMITED LIABILITY: Platform's maximum liability is the amount paid for materials and shipping. Platform is NOT liable for installation errors, property damage, or consequential damages.
